The Power of Going Public: Why ABHI Bank's IPO Marks the Next Phase of Digital Banking Growth

Eighteen months ago, ABHI Bank was acquired as a broken bank. Today, after successfully turning the institution around through a secured lending model and a digital-first strategy, ABHI Bank has achieved sustained profitability and established a solid foundation for long-term growth.

The bank's vision is straightforward: to build Pakistan's leading digital-first bank under the State Bank of Pakistan's Branchless Banking (BB) license by delivering technology-driven, innovative and responsible financial services to the masses.

From the outset, ABHI Bank's shareholders recognized that building a scalable and sustainable digital bank would require strong capitalization. Banking is ultimately built on trust, and trust is reinforced by capital. A well-capitalized institution not only supports growth but also strengthens resilience, inspires confidence among regulators and customers, and enables continuous investment in technology, innovation and financial inclusion.

The bank's short- to medium-term strategy has therefore centered on strengthening its capital base through multiple channels. This began with substantial Tier 1 capital injections from incoming shareholders. Following the bank's successful turnaround, sustained profitability and increasing market confidence, ABHI Bank now believes the time is right to take the next step by listing on the Pakistan Stock Exchange and raising approximately PKR 2–3 billion through an Initial Public Offering (IPO).

This proposed IPO is far more than a capital raise. It represents a strategic investment in ABHI Bank's next phase of growth. The additional capital will reinforce the bank's balance sheet, expand its lending capacity, accelerate its digital banking ambitions and position it to capitalize on the significant opportunities emerging across Pakistan's evolving financial services landscape.

Few financial institutions have undertaken such a transformation in such a short period after an acquisition. The decision to pursue an IPO reflects the bank's confidence in the institution it has built, the resilience of its business model and the long-term value ABHI Bank is positioned to create. It also reflects the trust placed in the bank by its customers, partners, regulators and shareholders, whose continued support has been instrumental throughout this journey.

ABHI Bank's objective extends beyond raising capital, it aims to continuously generate it. Since the acquisition, the bank has complemented shareholder investments with approximately PKR 2.5 billion generated organically through profitability in just eighteen months. This demonstrates the strength, scalability and sustainability of its secured lending and digital-first operating model, where growth generates capital even as capital continues to fuel growth.

ABHI Bank firmly believes Pakistan is ready for a new generation of challenger digital banks that can address the changing financial needs of everyday Pakistanis through innovation and technology.

The IPO forms a key pillar of the bank's long-term capitalization strategy. As it continues to grow, ABHI Bank also intends to diversify its capital structure through Additional Tier 1 (AT1) and Tier 2 instruments, complemented by a range of credit enhancement mechanisms, including first-loss guarantees, pari passu portfolio guarantees, partial credit guarantees, risk participation arrangements and blended finance structures. Together, these instruments will strengthen the bank's balance sheet, improve capital efficiency and support the prudent expansion of its unsecured lending business while maintaining disciplined risk management.

At the same time, ABHI Bank remains focused on building long-term resilience. Through prudent provisioning under the IFRS 9 framework, it continues to strengthen expected credit loss reserves, enhancing its ability to withstand future economic shocks while reinforcing the bank's overall financial stability.

The proceeds from the IPO will support the next phase of ABHI Bank's growth by expanding its Banking-as-a-Service platform, strengthening its digital banking infrastructure and scaling its secured lending franchise through its omnichannel network of 114 customer touchpoints. Every rupee raised will be deployed with one objective: building a stronger, more resilient and more scalable digital bank.

ABHI Bank believes investors will recognize the long-term value it is creating. More importantly, the bank hopes this IPO demonstrates how Pakistan's capital markets can play a greater role in supporting innovation, sustainable growth and the future of digital banking.
